# OASSE Standalone Purchase Agreement

Version 2026-10-06.3. Prepared for commercial and legal acceptance before publication.

## Parties and affirmative acceptance

Oak & Sparrow Systems Enterprise LLC (OASSE) supplies the standalone digital software release identified in your order. The buyer is the person identified at checkout or the organization that person is authorized to represent. By affirmatively accepting this agreement before payment, you confirm that you are an adult, are authorized to make this purchase, and agree to this agreement, the Product Delivery SOW and Liability and Consent Notice of the same version. The Privacy Notice explains handling of purchase information. An agent making a purchase must have the buyer's authority to accept these terms and pay.

## What your purchase includes

Your order identifies the SKU, release version, included rule identifiers, dated package scope, ZIP checksum, catalog checksum, one-time price and any applicable tax. The Product Delivery SOW describes the electronic delivery. A state collection covers its identified rules; its name does not promise every law or every requirement in that state. A law or framework pack covers the identified implementation and source snapshots. No future effective date, legislative change or completeness guarantee is inferred from a product name.

## Standalone license and proprietary boundary

The supplied standalone source code and its included license notices are offered under the MIT License. You may use, copy, modify, merge, publish, distribute, sublicense and sell copies subject to that license, including preservation of its copyright and permission notices. This agreement governs the purchase transaction and services; it adds no field-of-use, redistribution, seat or commercial-use restriction to MIT-licensed code. Payment does not buy exclusive rights. These packs are separate implementations for your own system. They are not the policy implementation used within Gatekeeper and do not include Gatekeeper's proprietary technology, infrastructure, hosted service or trademarks. No permission to imply OASSE endorsement is granted.

## Price, tax and payment

The displayed standard price is $1,000 per eligible priced rule. The launch price generally applies a 15% discount. California and Illinois state collection offers apply 50% instead of 15%; discounts do not stack. Included rule count can differ from priced rule count where an included control is not independently priced. Your confirmed order fixes the offer for that purchase. Prices are in US dollars. Applicable tax, if any, is displayed before payment. There is no subscription, recurring charge or automatic renewal. OASSE delivers after independently verifying settled payment with Stripe. An incomplete or pending payment does not grant download access. An unauthorized or failed payment may be held for verification.

## Final sale and error correction

All sales are final. No refunds or exchanges are offered for change of mind, choosing the wrong scope, incompatibility disclosed by the documentation, or dissatisfaction with a correctly supplied identified release, except as required by applicable law. This provision does not exclude nonwaivable rights or prevent you from reporting an unauthorized payment. OASSE will investigate and correct duplicate charges, incorrect charges, failed delivery, corrupted downloads or delivery of a different SKU or release. Where an error cannot be resolved or a refund is legally required, OASSE will provide the required remedy, including a refund as applicable. Contact Contact@oakandsparrowsystemsenterprise.io with the order identifier and a description of the problem. Do not include sensitive production data.

## Buyer implementation responsibilities

Your team evaluates applicability to its business, validates input data, tests the pack in its own environment, integrates and configures it, and operates the surrounding governance program. Rule test results concern the defined software behavior; they are not an audit of your organization or a legal opinion. You remain responsible for human review, notices, recordkeeping, security, lawful decisions and any obligations outside the pack's scope. You should obtain qualified advice where needed before relying on the implementation for a regulated activity.

## No ongoing service or certification

The one-time purchase does not include implementation consulting, legal advice, a compliance assessment, legal representation, insurance, indemnification against regulatory action, live legal monitoring, future releases or automatic updates. It provides no certification, safe harbor or guarantee that you comply with HIPAA, FERPA, ADMT or another framework. A HIPAA pack is not a Business Associate Agreement. A FERPA pack is not a school service-provider agreement. OASSE does not receive protected health information, student records or your production decisions merely because you buy and run a standalone pack. Any separate hosted service, data processing, maintenance or consulting engagement requires its own written scope and applicable agreements.

## Warranty disclaimer and liability limits

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND DOCUMENTATION ARE PROVIDED AS IS, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON INFRINGEMENT, LEGAL ACCURACY OR ACHIEVEMENT OF COMPLIANCE. The exact MIT warranty and liability language remains in the delivered LICENSE. OASSE's obligation to provide the purchased artifact and correct transaction or delivery errors is not removed by this disclaimer.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OASSE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE OR BUSINESS INTERRUPTION ARISING FROM THIS PURCHASE OR YOUR IMPLEMENTATION. OASSE'S AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE AFFECTED PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID OASSE FOR THAT PURCHASE. These limits do not apply to fraud, willful misconduct, gross negligence, liability for death or personal injury where it cannot lawfully be limited, mandatory refunds, or any other liability or remedy that applicable law prohibits excluding or limiting. They do not excuse unlawful conduct or override statutory protections. Enforceability depends on the law and circumstances applicable to the transaction.

## Third-party claims caused by buyer conduct

For an authorized business purchase, the buyer will defend and indemnify OASSE against a third-party claim and reasonable resulting costs to the extent caused by the buyer's unlawful use of the pack, buyer-supplied data that infringes third-party rights, or the buyer's modifications. This does not cover claims caused by OASSE's own breach, unlawful conduct or the unmodified supplied software. OASSE must promptly notify the buyer and reasonably cooperate. The buyer may not settle a claim by admitting fault for OASSE or imposing obligations on OASSE without its consent. This obligation applies only to the extent permitted by applicable law.

## Communications, disputes and changes

Purchase confirmations, private access links and transaction corrections may be sent to your checkout email. This is not consent to marketing. Contact Contact@oakandsparrowsystemsenterprise.io to resolve an order problem. A support request does not waive a filing deadline or mandatory remedy. This agreement imposes no mandatory arbitration, class-action waiver or selected exclusive forum. Applicable law and a competent court determine unresolved disputes. The order, this agreement, the SOW and the Liability and Consent Notice are the purchase agreement; the MIT License controls permissions for the delivered MIT code. Nonwaivable law prevails. If a provision is unenforceable, remaining provisions continue to the extent lawful. Later document changes do not retroactively change an accepted order. A negotiated amendment must be recorded in writing by authorized parties.
